By using CurveMD, you agree to resolve disputes with CurveMD or participating medical providers through binding arbitration, waiving your right to a jury trial or class action lawsuit. More details are included in these Terms.

CurveMD ("we" or "us") owns and operates this website and provides the CurveMD service, which connects individuals with local healthcare providers. Your access and use are governed by these Terms of Service.

Introduction

These Terms of Service ("Agreement") establish the important terms you need to know regarding CurveMD. "You" and "yours" refer to the individual using the service. If a minor uses the service, "you" and "yours" also include the parent or legal guardian providing consent. CurveMD is not intended for, and use by, individuals under 13.

Acceptance of Terms

Accessing and using CurveMD is subject to this Agreement and all applicable laws. If you don't agree to be bound by the entire Agreement, you are prohibited from using CurveMD. We reserve the right to revise or remove any part of the Agreement or service at any time without notice. Continued use after changes are posted constitutes your acceptance of the modified Agreement. If you disagree with any changes, your only remedy is to discontinue use of CurveMD.

Your Relationship with CurveMD: Medical Disclaimer

CurveMD connects you with qualified medical professionals for weight loss services. We act as a platform for scheduling appointments and billing, but we are not a healthcare provider ourselves.

Here's what you need to know:

  • Medical care is provided by licensed professionals: CurveMD connects you with doctors and other healthcare providers who are independent of our service. They are solely responsible for your diagnosis and treatment.

  • We don't provide medical advice: CurveMD cannot offer medical advice or make decisions about your care.

  • Your relationship with your primary care doctor remains important: CurveMD is a supplement, not a replacement for your regular healthcare provider.

Communication and Privacy:

  • Medical providers may send you messages through CurveMD: Doctors you connect with using CurveMD may use our platform to share information about your diagnosis and treatment.

  • We take privacy seriously: CurveMD protects your personal information as outlined in our Privacy Policy.

Billing and Subscriptions:

  • CurveMD offers subscriptions for some services: These subscriptions automatically renew until canceled. You can manage or cancel your subscription at any time through our platform.

  • We use secure billing practices: CurveMD processes payments securely and does not store your full payment information.

Important Information Regarding Your Financial Responsibility

CurveMD and its affiliated medical groups do not currently accept commercial health insurance. This means services and medications are not covered by insurance and are considered self-pay. You will be financially responsible for all fees associated with your program.

Prescription Products:

Certain medications require a doctor's prescription. After consultation, if a prescription is deemed appropriate, CurveMD can connect you with pharmacies to fulfill the order. These prescriptions may not come in child-resistant packaging, so please store them securely. You are responsible for any pharmacy dispensing fees associated with the medication.

Payments & Fees:

By using CurveMD's services, you agree to pay all associated fees as outlined in the "Subscriptions and Membership Services" section. We accept various payment methods, and you are responsible for maintaining accurate billing information.

Product Availability & Taxes:

Products and services may be subject to availability and price changes. You are responsible for any applicable taxes associated with your purchase.

Delivery & Risk of Loss:

Shipping fees may apply and are subject to change. Delivery dates are estimates and not guarantees. Once your order is shipped, the risk of loss or damage transfers to you.

Customer Issues & Concerns:

CurveMD addresses user issues and concerns on a case-by-case basis.

Non-Refundable Services:

Please note that due to the nature of the services provided, fees and charges are generally non-refundable.

Limited Use and Availability

CurveMD's services are currently available to individuals in specific states and countries. You must be at least 18 years old (or the legal age of majority in your location) to use our services. If you're between 13 and 18, parental or legal guardian consent is required according to our agreement.

By using CurveMD, you represent and warrant:

  • You're at least 18 (or the legal age of majority in your location) or have obtained parental/guardian consent (if under 18).

  • If providing consent for a minor (under 18), you're the legal guardian and have the authority to do so.

  • You're located in the same state as your shipping address when consulting with a provider.

  • You agree to comply with all applicable laws while using CurveMD.

  • You'll only use our services for lawful purposes.

CurveMD services are subject to state and local regulations and may change due to evolving requirements.

Age Restrictions and Medical Conditions

Some CurveMD products may have additional age limitations. Our services may not be suitable for all situations, and certain conditions might necessitate in-person care. Your provider may determine that a physical visit is required for diagnosis and treatment. If this occurs, you'll be notified and provided with next steps.

Your Responsibilities

You're responsible for providing and maintaining the necessary software and hardware (computer, mobile device with camera, internet access) to use CurveMD at your own cost and discretion. Any fees associated with accessing the internet or using mobile data remain your responsibility.

Accurate Information

You're obligated to provide truthful, accurate, and complete information in all forms or communications submitted through CurveMD. We reserve the right to modify access requirements, including software, hardware, or other specifications without prior notice.

Privacy Policy

Understanding Your Information:

HIPAA and CurveMD:

CurveMD isn't a healthcare provider under HIPAA. However, some labs, pharmacies, or medical groups we partner with might be. Here's what that means:

  • Information for Labs/Pharmacies/Medical Groups: If your information is shared with these entities, their privacy practices (including HIPAA) may apply.

  • Information Not Covered by HIPAA: Data not intended for diagnosis, etc., isn't considered "protected" under HIPAA and is governed by our Privacy Policy.

Keeping Your Account Secure:

  • Account Security: You're responsible for maintaining accurate account information and notifying us of any unauthorized access.

  • Data Encryption: We use secure technologies like SSL to protect your data while in transit.

  • Shared Responsibility: We take security seriously, but you also play a part. Log out of your account and keep your password confidential.

Telehealth Services:

Some services involve telehealth, which has benefits and risks. Before using these services, you'll review an informed consent document.

Use and Ownership of the Service

The Service, along with the information and content accessible through it, is safeguarded by global copyright laws. Subject to this Agreement, CurveMD grants you a restricted, non-transferable, and revocable license to access and use the Service exclusively for your personal use. Unless explicitly stated otherwise in a separate license, your utilization of any part of the Service or its content is governed by this Agreement, and all rights to the Service and its content remain the property of CurveMD. You acknowledge that CurveMD and its suppliers retain all rights, titles, and interests in the Service (including, but not limited to, any computer code, themes, objects, concepts, photographs, product descriptions, blog posts, artwork, animations, sounds, musical compositions, audiovisual effects, methods of operation, moral rights, and documentation). You shall not remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the Service.

The stylized name “CurveMD” and any related graphics, logos, service marks, and trade names utilized in connection with the Service are the trademarks of CurveMD and may not be used without explicit permission, including in relation to third-party products or services. Other trademarks, service marks, and trade names that may appear on or within the Service are the property of their respective owners.

To use the Service, you will be required to review and agree to an informed consent regarding medical treatment and the use of telehealth (the “Patient Consent” form) that will be provided to you via the Service. You agree that CurveMD is a third-party beneficiary of the Patient Consent and has the right to enforce it against you.

License to Information Submitted via the Service

Except where limitations related to Protected Information are indicated below, any information you send to CurveMD via the Service, whether through direct entry, submission, email, or any other means, including data, queries, comments, forum communications, or suggestions (collectively, “Submissions”), will be treated as non-confidential and non-proprietary, to the extent allowed by applicable law. Subject to applicable account settings you choose, you grant CurveMD a fully paid, royalty-free, perpetual, irrevocable, worldwide, non-exclusive, and fully sublicensable right (including any moral rights) and license to use, license, distribute, reproduce, modify, adapt, publicly perform, and publicly display your Submissions (in whole or in part) for the purpose of providing and operating the Service for both you and our other users. You warrant that the holder of any worldwide intellectual property right, including moral rights, in your Submissions has fully and effectively waived all such rights and has granted you the right to provide the license mentioned above. You acknowledge that you, and not CurveMD, are solely responsible for all Submissions you provide through the Service. In addition, CurveMD has the sole discretion to edit, replicate, or alter your Submissions as necessary or desirable for any purpose, and you irrevocably waive any and all so-called moral rights you may have in your Submissions. Furthermore, you agree that you have no right of approval and no entitlement to compensation in connection with your Submissions.

In the event that a Submission you make contains Protected Information, CurveMD’s rights to use or disclose such Protected Information under this section will be limited to the extent required by applicable law.

CurveMD can terminate your access for violating these terms, service discontinuation, or ending agreements with partners. Certain terms like security and liability disclaimers will still apply even after termination.

Financial Interests:

Some CurveMD affiliates may have financial interests in Third-Party providers. Your use of their services may benefit them financially.

Service Availability:

The CurveMD service is offered "as is" and "as available." You use the service at your own risk. CurveMD, along with any third-party providers offering products or services through the platform (including medical groups, providers, labs, and pharmacies), disclaims all warranties, expressed or implied. This includes, but isn't limited to, warranties of merchantability, non-infringement, and fitness for a particular purpose. The information, content, products, services, or materials provided through this platform are also covered by these disclaimers. CurveMD doesn't guarantee the accuracy, completeness, reliability, or timeliness of the service. There's no guarantee the service will operate without interruptions, errors, or other issues.

Liability Limitation:

To the fullest extent permitted by law, CurveMD will not be liable for any incidental, indirect, consequential, or special damages arising from your use of the service. This includes, but isn't limited to, personal injury, emotional distress, lost profits, or damages arising from your inability to use the service. This applies to any information, content, services, or products made available through the platform, or any services offered by third-parties. These limitations apply regardless of the legal theory used (contract, tort, etc.) and whether CurveMD was advised of the possibility of such damages. CurveMD's total liability is capped at U.S. $1,000.00, limited to actual damages incurred by you.

Claims and Legal Actions:

Any claims arising from your use of the service or content must be filed within one (1) year of the event. By using the service, you waive your right to participate in a class action lawsuit for any damages or losses arising from your use of the platform, service, or content.

Indemnification:

You agree to indemnify and hold harmless CurveMD, any third-party providers, medical groups, providers, labs, and pharmacies from any claims, damages, losses, or expenses arising from your use of the service, fraudulent activities, violations of law, or infringement of any rights of another person or entity. This includes attorney fees and litigation expenses. CurveMD reserves the right to take control of the defense in any third-party claim for which we are entitled to indemnification, and you agree to cooperate with us as reasonably requested.

Notices:

CurveMD may send you notices regarding the service or this agreement via email, posting notices on the platform, or regular mail.

Changes to Terms and Services:

CurveMD reserves the right to modify or remove any part of this agreement at its sole discretion. It's recommended to periodically review the terms for any updates. Changes become effective when posted unless additional notice is required by law. Disagreement with revised terms means you must stop using the service. Continued use signifies your acceptance of the modified terms.

Electronic Communications:

By using the service or sending messages to CurveMD, any medical group, or its providers, you agree to receive electronic communications from them. This may include emails, text messages, or notifications within the service. You acknowledge that electronic communication satisfies any legal requirements for written communication. Notices sent electronically are considered delivered and received on the date of transmission as described in this Agreement.

Entire Agreement:

This agreement, along with any additional agreements published by CurveMD, constitutes the complete agreement between you and CurveMD regarding your use of the service. This agreement supersedes any prior agreements between you and CurveMD pertaining to the use of the service.

Dispute Resolution - Arbitration Agreement

Important Information Regarding Dispute Resolution

This Agreement outlines how disputes between you and CurveMD will be resolved. Please read carefully.

Binding Arbitration:

You and CurveMD agree to settle any legal claim, dispute, or controversy arising from our services through binding arbitration. This means a neutral arbitrator, not a judge or jury, will decide the outcome. The arbitration will be conducted by the American Arbitration Association (AAA) following their Commercial Arbitration Rules and, if applicable, their Supplementary Procedures for Consumer Related Disputes.

Key Points:

  • Informal Process: Arbitration is simpler than a lawsuit in court.

  • Neutral Arbitrator: A neutral third party makes the final decision.

  • Limited Court Review: A court's ability to review the arbitrator's decision is restricted.

  • Individual Claims Only: Disputes can only be brought on an individual basis, not as a class action.

  • Cost Sharing: We'll cover arbitration costs if they become prohibitive for you as a consumer.

  • Location: Arbitration will take place in Seattle, Washington, unless your residence is more than 100 miles away.

  • Enforcement: The arbitrator's decision is final and binding and can be entered as a judgment in court.

Exceptions:

  • Intellectual Property: Disputes regarding intellectual property rights or violations of the Computer Fraud and Abuse Act may be brought to court.

  • Small Claims Court: You may pursue claims within the jurisdiction of small claims court.

Complete Agreement:

This Agreement constitutes the entire understanding regarding dispute resolution between you and CurveMD.

Governing Law and Dispute Resolution

This service is controlled and operated by CurveMD from our offices within New York. Your access to the service is governed by the Federal Arbitration Act and the laws of the State of New York, without regard to any conflicts of law provisions. Any disputes arising from or relating to this agreement will be settled through binding arbitration.

Severability

If any provision of this agreement is found to be unenforceable, that provision will be replaced with terms that most closely match the intent of the unenforceable part, and the remaining provisions will remain in full force and effect.

Assignment

You may not assign your rights under this agreement. CurveMD may assign this agreement or any of its rights or obligations to an affiliate or third party in the event of a merger, sale of assets, or other business transfer.

Third-Party Services

Your use of any third-party software, goods, or services provided in connection with the CurveMD service may be governed by the applicable third-party's terms of use. You agree to comply with all applicable third-party terms in addition to this agreement.

No Third-Party Beneficiaries

This agreement does not create any rights for third-party beneficiaries.

  • Providing you with information about Slim-MD, the Labs, the Pharmacies, the Medical Groups, the Providers and/or their businesses, products and services by letter, email, text, telephone or other forms of communication;

  • Identifying or creating new products, services, marketing and/or promotions for Slim-MD or the Service;

  • Promoting and marketing Slim-MD, the Service, and the products and/or services offered via the Service;

  • Improving user experiences with the Service;

  • Providing you with customer support;

  • Providing you with information about third-party businesses, products and services by letter, email, text, telephone or other forms of communication;

  • Developing, testing or improving the Service and content, features and/or products or services offered via the Service;

  • Conducting research and measurement activities for purposes of research and development, advertising claim substantiation, market research, and other activities related to Slim-MD, the Service or products and services offered via the Service;

  • Analyzing traffic to and through Service;

  • Analyzing user behavior and activity on or through the Service;

  • Monitoring the activities of you and others on or through the Service;

  • Placing and tracking orders for products or services on your behalf;

  • Protecting or enforcing Slim-MD’ rights and properties;

  • When required by applicable law, court order or other governmental authority (including, without limitation and by way of example only, in response to a subpoena or other legal process); or

  • Slim-MD believes in good faith that such use is otherwise necessary or advisable (including, without limitation and by way of example only, to investigate, prevent, or take legal action against someone who may be causing injury to, interfering with, or threatening the rights, obligations or properties of Slim-MD, a user of the Service, which may include you, or anyone else who may be harmed by such activities or to further Slim-MD’ legitimate business interests).

We may de-identify your information and use, create and sell such de-identified information, or any business or other purpose not prohibited by applicable law.

Subject to the limitations described in the Protected Health Information section above, we may disclose your information to third parties in connection with the provision of our Service or as otherwise permitted or required by law. For example, we may disclose your information:

  • To the Labs, Pharmacies, Medical Group or its Providers to enable them to provide services to you via the Service and to collect payment on their behalf;

  • To our third-party and service providers (collectively “vendors”) that provide services to enable us to provide the Service, such as the hosting of the Service, data analysis, IT services and infrastructure, customer service, e-mail delivery, and other similar services;

  • To our subsidiaries and affiliates;

  • To our vendors that provide services to enable us to run our business and administrative operations, such as legal and financial advisory services, auditing services, analytics and similar services;

  • To our vendors that provide services to enable us to promote and advertise the Service and the products and/or services offered via the Service, such as ad platforms or ad-retargeting services, as well as comply with contact removal requests or requirements, such as mailing list removal services, do not call registries, and similar services;

  • To our contractors, service providers, and other third parties we use to support our business. These entities provide IT and infrastructure support services, payment processing services and marketing software.  Our payment processors’ privacy policies may be found at http://stripe.com/us/privacy;

  • To vendors as we believe necessary or appropriate to comply with applicable laws; and

  • To a potential or actual buyer or other successor in the event of a planned or actual merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of Slim-MD’s assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding, in which Personal Data held by Slim-MD about our Website’s users is among the assets transferred;

  • To fulfill the purpose for which you provide it;

  • For any other purpose disclosed by us when you provide the information; and

  • With your consent;

  • To comply with any court order, law, or legal process, including to respond to any government or regulatory request;

  • To enforce or apply our Terms of Service and other agreements, including for billing and collection purposes; and

  • If we believe disclosure is necessary or appropriate to protect the rights, property, or safety of Slim-MD, our customers, or others. This includes exchanging information with other companies and organizations for the purposes of fraud protection and credit risk reduction.

We may de-identify your information and disclose such de-identified information for any purpose not prohibited by applicable law.

Data Privacy and Security

Data Retention:

CurveMD retains your information only as long as necessary:

  • To fulfill legal obligations and resolve disputes.

  • To provide you with CurveMD services and products.

  • Otherwise required by law.

CurveMD may dispose of your information at any time, following legal and contractual requirements.

Medical Groups and Providers:

The Medical Groups and Providers affiliated with CurveMD may retain your information under similar principles. They are responsible for their data security practices.

Data Security:

CurveMD implements measures to secure your personal data from unauthorized access, use, alteration, and disclosure. However, no internet transmission is completely secure.

Your Role in Security:

You are responsible for maintaining the confidentiality of your CurveMD website password.

Transaction Information:

For transactions conducted through the CurveMD service (e.g., program enrollment), you may provide payment information like credit card details and billing addresses. CurveMD has the right to share this information with third-party vendors (e.g., payment processors) solely to facilitate the transaction.

Payment Processing:

CurveMD utilizes Stripe, a third-party online payment processor, to handle credit card and other monetary transactions. Stripe has its own privacy policy and security measures (Stripe Policies). Please refer to the Stripe website (https://stripe.com/us/privacy) for details. CurveMD's relationship with Stripe is contractual, and Stripe operates independently.

Third-Party Services

  • Payment Processors: We use third-party online payment processing services to handle credit card transactions. These services are not owned or operated by CurveMD, and we are not responsible for their privacy practices. Please refer to the privacy policies of these third parties for more information.
